Bio-One Hopes to Acquire Supplement Manufacturers, Distributors

LAKE MARY, Fla.--Bio-One Corp. (OTC BB:BICO), based here, announced July 10 its intent to acquire a vitamin manufacturer that has yearly revenues of $7 million. The terms of the agreement include cash and restricted stock, and the company's name will not be released until the deal is final.

Bio-One was incorporated in 1998 and is a nutritional supplement marketing and Internet consulting business that later partnered with Crown Enterprises Inc. Bio-One owns other vitamin, mineral, and herb supplements, including Blue Green Manna, a trademarked product containing algae.

According to Bio-One, this forthcoming acquisition is a step in securing Bio-One's foothold in the nutraceutical industry. It said its business model includes buying several more manufacturers, as well as distributors, of nutraceutical products. In turn, these acquisitions will give the company control over the quantity and quality of its products, said Robert Gartzman, investor relations for Bio-One.

This deal is expected to close within the next 90 days, if not earlier. "Hopefully, we'll complete this relatively soon," Gartzman stated. Bio-One's stock closed on July 11 at $.34.
